Terms of Use

The terms on which you may use Greenfile.

1. Acceptance

By creating a Greenfile account, signing in to a Greenfile workspace, or otherwise using the Greenfile platform (the “Service”), you agree to these Terms of Use (the “Terms”) and to our Privacy Policy. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” in these Terms refers to both you and the organisation.

2. About Greenfile

The Service is operated by Greenfile India (“we”, “us”), an unincorporated sole-proprietorship business based in Mumbai, India. A formal sole-proprietorship registration will be completed on or before the onboarding of our first paying customer.

Greenfile is a software workspace that helps Indian D2C brands and other regulated persons:

  • Track SKUs and their packaging composition;
  • Classify packaging into the categories used by the Plastic Waste Management Rules, 2016 (as amended) using a machine-learning model;
  • Compute Extended Producer Responsibility (EPR) liability under those rules;
  • Generate filing packs in a form that can be submitted to the Central Pollution Control Board (CPCB) EPR portal.

3. Account & access

You must be at least 18 years old and capable of forming a binding contract under Indian law to use the Service.

You are responsible for keeping your password secure and for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at hello@greenfile.co and change your password.

Workspace administrators are responsible for managing the membership of their workspace, including inviting and removing members.

4. The Service is a tool — not legal, compliance, or financial advice

Greenfile is a software tool. It is not a substitute for legal, compliance, environmental, or financial advice from a qualified professional, and we are not your lawyer, consultant, chartered accountant, or environmental adviser.

The Plastic Waste Management Rules, the Extended Producer Responsibility framework, and the CPCB filing requirements change. The classification of any given packaging item, the environmental compensation (EC) rates applicable to it, and the form of a valid filing are matters of regulatory interpretation on which reasonable people may differ. Greenfile presents one such interpretation, expressed as software.

You remain the regulated person under the Plastic Waste Management Rules. Where the Service produces a number, a classification, or a filing pack, that output is information you may choose to rely on; it does not transfer liability for the underlying compliance to us, and submitting a filing remains your decision and your responsibility.

For any decision of material consequence — including but not limited to filings submitted to the CPCB, disputes with regulators, contracts with recyclers, public statements about your obligations, or audit responses — you must obtain independent professional advice. We strongly recommend retaining a qualified environmental compliance consultant for at least your first filing cycle on Greenfile.

5. AI-assisted classification

The Service uses a third-party large-language model (currently provided by Anthropic, PBC) to suggest a classification for each packaging component you upload. This classification is probabilistic; it may be wrong even when expressed with high confidence.

The Service exposes a human-review surface (the Review queue) and an attestation step for exactly this reason. Before you rely on a classification — and certainly before you compute liability from it or submit a filing containing it — you must review and confirm each classification yourself.

We do not warrant the accuracy, completeness, or current correctness of any classification suggestion, liability figure, or filing pack generated by the Service.

6. Your content

Everything you upload to Greenfile — your SKU catalogue, sales declarations, packaging breakdowns, classification overrides, GSTIN, organisation profile, and so on (collectively, Your Content”) — remains yours. You grant us a worldwide, royalty-free, non-exclusive licence to host, process, transmit, and display Your Content solely for the purpose of operating the Service for you.

You may export Your Content at any time using the in-app export tools. On termination of your account, you have 30 days to export Your Content before we delete it; see Section 11.

You represent and warrant that Your Content does not violate any law, infringe any third party's rights, or include personal data of individuals to whom you have not provided appropriate notice and obtained appropriate consent.

7. Our content

The Service itself — the website, the application, the underlying source code, the rule engine, the classifier prompts, the design, the brand “Greenfile”, and all related documentation (“Our Content”) — is owned by us or our licensors and is protected by copyright, trademark, and other intellectual-property law. You may not copy, modify, distribute, reverse-engineer, decompile, or create derivative works of Our Content, except as expressly permitted by law.

8. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose, including but not limited to filing false declarations with the CPCB or any other authority;
  • Attempt to access another organisation's workspace, data, or account;
  • Probe, scan, or test the vulnerability of the Service except through a coordinated security-research disclosure to hello@greenfile.co;
  • Scrape, harvest, or otherwise extract data from the Service through automated means other than the official export and API surfaces;
  • Submit content that contains malicious code, viruses, or content designed to disrupt the Service;
  • Resell, sublicence, or expose the Service to third parties outside your organisation without our prior written consent.

We may suspend or terminate access of any user or organisation that violates this section, with or without notice depending on the severity of the violation.

9. Service availability & changes

We aim to keep the Service available at all times but we do not guarantee any specific availability level. We may, without liability:

  • Take the Service down for scheduled or emergency maintenance;
  • Modify, add, or remove features at our discretion;
  • Change a third-party sub-processor (we will update the Privacy Policy to reflect any such change).

We will give you reasonable advance notice of any material adverse change to a feature you actively rely on, where it is practical to do so.

10. Fees

As of the date of these Terms, the Service is provided free of charge. We may introduce paid plans in the future; if we do, we will give you at least 30 days' notice before any charge applies to your account, and you will have the option to downgrade to a free tier (if available) or terminate without penalty.

11. Termination

You may terminate your account at any time from inside the application or by emailing hello@greenfile.co. After termination:

  • You have 30 days to export Your Content using the in-app export tools;
  • After 30 days, we will delete Your Content subject to the retention rules in our Privacy Policy § 7;
  • Sections 4, 5, 7, 12, 13, 14, 15, and 16 of these Terms survive termination.

We may terminate or suspend your access if you materially breach these Terms, with notice and a reasonable opportunity to cure where the breach is curable.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. To the maximum extent permitted by law, we disclaim all warranties of any kind, whether express, implied, statutory, or otherwise — including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or freedom from defects or errors.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, secure, or error-free;
  • Any classification, liability figure, or filing pack generated by the Service is accurate, complete, or current;
  • The Service complies with any specific regulator's interpretation of the Plastic Waste Management Rules at any given time;
  • Defects in the Service will be corrected.

Nothing in this section excludes any warranty or liability that cannot be excluded under applicable Indian law, including under the Consumer Protection Act, 2019.

13. Limitation of liability

To the maximum extent permitted by law, in no event will we be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or anticipated savings, arising out of or in connection with the Service or these Terms, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising out of or in connection with the Service or these Terms (whether in contract, tort, statute, or otherwise) is capped at the greater of:

  • the total fees you have paid to us in the twelve (12) months immediately preceding the event that gave rise to the liability; and
  • Indian Rupees one thousand (₹ 1,000).

For the avoidance of doubt: if you use the Service free of charge, the cap above is ₹ 1,000.

This Section 13 applies even if a remedy set out elsewhere in these Terms fails of its essential purpose.

14. Indemnity

You will indemnify, defend, and hold us (and our officers, employees, and agents) harmless from and against any claim, demand, loss, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms or applicable law;
  • Your filings, declarations, or other submissions to any authority (including the CPCB), regardless of whether you relied on output from the Service;
  • Your Content infringing any third party's rights;
  • Any personal data you process through the Service without the data principal's appropriate notice and consent.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of India. The courts at Mumbai, India have exclusive jurisdiction over any dispute arising out of or in connection with the Service or these Terms, subject to your rights as a consumer under the Consumer Protection Act, 2019.

Before commencing any formal proceedings, the parties agree to attempt in good faith to resolve any dispute by direct discussion for at least 30 days from the date written notice of the dispute is given.

16. Changes to these Terms

We may revise these Terms from time to time. If we make changes that are material and adverse to you, we will notify you by email and inside the application at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms; if you do not agree, you may terminate your account under Section 11 without penalty.

17. General

Entire agreement. These Terms together with the Privacy Policy and Cookies Policy constitute the entire agreement between you and us regarding the Service and supersede any prior agreement.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to render it enforceable.

No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all of our assets, on notice to you.
